All content on the Digital Platform & Services, including but not limited to text, graphics, logos, icons, images, software, audio and video clips, data compilations, page layout, and design, is the property of OrgFour Inc. or its content suppliers and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

OrgFour Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Digital Platform & Services for your personal, non-commercial use. You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any content, information, software, products, or services obtained from or through the Digital Platform & Services without OrgFour Inc.’s express prior written consent.

7. User-Generated Content

7.1 License Grant

By submitting, posting, or displaying content on or through the Digital Platform & Services ("User-Generated Content"), you grant OrgFour Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User-Generated Content in connection with the operation of the Digital Platform & Services and OrgFour Inc.’s business, including without limitation for promoting and redistributing part or all of the Digital Platform & Services (and derivative works thereof) in any media formats and through any media channels.

  • You own or have the necessary rights to use and authorize OrgFour Inc. to use all intellectual property rights in and to any User-Generated Content.

The Digital Platform & Services may contain links to third-party websites or services that are not owned or controlled by OrgFour Inc. OrgFour Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that OrgFour Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimer of Warranties

The Digital Platform & Services are provided on an "AS IS" and "AS AVAILABLE" basis. OrgFour Inc. makes no representations or warranties of any kind, express or implied, as to the operation of the Digital Platform & Services, or the information, content, materials, or products included on the Digital Platform & Services. To the fullest extent permissible by applicable law, OrgFour Inc. disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. OrgFour Inc. does not warrant that the Digital Platform & Services, its servers, or e-mails sent from OrgFour Inc. are free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall OrgFour Inc., its affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Digital Platform & Services;
  • Any conduct or content of any third party on the Digital Platform & Services;
  • Any content obtained from the Digital Platform & Services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

11. Service Availability and Uptime

OrgFour Inc. will make commercially reasonable efforts to ensure that the Digital Platform & Services are available with minimal interruptions. However, OrgFour Inc. does not guarantee the availability of the Digital Platform & Services at all times or that access will be uninterrupted or error-free. Scheduled maintenance, upgrades, and repairs may temporarily limit your access to the Digital Platform & Services.

12. Data Protection and Security

OrgFour Inc. will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of processing your data, as described in our Privacy Policy. However, you acknowledge that no method of transmission over the internet or method of electronic storage is completely secure, and OrgFour Inc. cannot guarantee absolute security.

13. Termination and Suspension

OrgFour Inc. reserves the right, in its sole discretion, to suspend or terminate your access to the Digital Platform & Services, with or without notice, for any reason, including, without limitation, if you breach these Terms or if OrgFour Inc. ceases to provide the Digital Platform & Services. These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms will be brought exclusively in the federal or state courts located in the State of Delaware. You hereby consent to the jurisdiction of and venue in such courts and waive any objection to such jurisdiction or venue, including any objection based on inconvenient forum.

  • Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable and will not affect the validity and enforceability of any remaining provisions.
  • Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by OrgFour Inc. on the Digital Platform & Services, constitute the entire agreement between you and OrgFour Inc. concerning your use of the Digital Platform & Services.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and OrgFour Inc.’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
